Public Disclosure Statement

This disclosure statement explains who we are, the financial advice services we provide, how we are paid, and what your rights are when working with us.

We have prepared this document to meet our obligations under the Financial Markets Conduct Act 2013 and the Code of Professional Conduct for Financial Advice Services.

Vista Wealth & Protection Limited is a small New Zealand financial advice business focused on providing clear, practical advice to individuals, families, and small business owners.

1. Who We Are

Vista Wealth & Protection Limited (FSP1012254) holds a Financial Advice Provider (FAP) licence issued by the Financial Markets Authority (FMA).

Our financial advisers are authorised by Vista Wealth & Protection Limited to provide financial advice on its behalf.

All advisers providing regulated financial advice hold the New Zealand Certificate in Financial Services (Level 5), as required under New Zealand financial advice laws.

2. What Advice We Provide

We provide financial advice in the following areas:

  • Personal Risk Insurance (including Business Personal Risk)

  • Health insurance

  • Group insurance

  • KiwiSaver

  • Investment and retirement planning

  • ACC Advice

We only provide financial advice on products from certain providers.

This means we do not provide advice on every product or every provider available in the market.

The providers we work with may change from time to time.

3. Our Advice Process

Our advice process is designed to help ensure our recommendations are suitable for your goals, needs, and circumstances.

Our process generally includes:

1.        Understanding your situation, goals, and concerns
2.        Gathering information about your financial position and needs
3.        Identifying risks, gaps, and opportunities
4.        Recommending suitable solutions
5.        Explaining our recommendations and why they are appropriate
6.        Helping you implement agreed recommendations
7.        Providing ongoing service and reviews where required

The exact scope of our service will depend on the type of advice you ask us to provide.

Sometimes our advice may be limited in scope.

  • If our advice is limited, we will explain this clearly.

  • The scope of your engagement with us may be limited to the services detailed under 1-5 of above

4. Important Information About Our Advice

Our advice is based on the information you provide to us.

It is important that the information you give us is accurate, complete, and up to date.

If important information is missing or incorrect, this may affect the suitability of our advice or the ability of an insurer or provider to honour a policy or investment.

When applying for insurance, you must disclose all information that could reasonably influence an insurer’s decision.

We may also recommend that you obtain legal, tax, accounting, or other specialist advice where appropriate.  We do not provide this advice.

5. How We Are Paid

We do not charge clients a fee for our financial advice services, we may charge a fee for Investment advice.

We are paid commissions by insurance companies, KiwiSaver providers, and investment providers when clients take out or keep financial products that we recommend.

Commission rates for each provider and product is available on request

Insurance Commission

If you take out an insurance policy we recommend, the insurer will usually pay us:

Initial commission

If you invest in an insurance product we recommend, the provider may pay us:

  • An upfront commission

  • The amount varies between providers and products.

  • The commissions are between 10% and 230% of the first year’s premiums of your policy

The amount depends on

  • Which insurance/Kiwisaver company and which insurance policy/Kiwisaver plan you choose

  • The total amount of the insurance sold for an insurer over an ongoing 12-month period

  • The percentage of the insurance that stays in force and/or the rating of the quality of the service

  • AIA Vitality - If AIA Vitality is added to an AIA policy, Vista will effectively be paid an additional 10% Commission as AIA calculate commission prior to this discount being taken off premiums.


Ongoing commission

  • This is paid by the provider to Vista monthly

  • These commissions are between 0-17% of the premium for each year the policy remains in force

  • Ongoing commission is paid to help meet the costs of ongoing service provided to you in regard to your insurance e.g. helping with claims and making sure your insurance is still suitable for your needs


KiwiSaver and Investment Commission

If you invest in a KiwiSaver or investment product we recommend, the provider may pay us:

  • An upfront commission or adviser fee

  • A trail payment based on the amount invested

  • The amount varies between providers and products.

  • Details will be disclosed to you before any recommendation is implemented.


We may charge an ongoing commission fee that would come out of your account balance.

  • Up to 0.5% of current balance for KiwiSaver.  Up to 1.0% of current balance for Investments.

Ongoing commission helps cover the cost of ongoing service, including:

  • Policy administration and implementation

  • Monitoring of Insurance plan and/or investments

  • Reviews (may include cashflow forecasting and/or retirement planning for investments)

  • Policy changes

  • Ongoing client support (including insurance claims)

We do not receive commission nor incentives from ACC

6. Conflicts of Interest

Under the Financial Markets Conduct Act 2013, we must give priority to your interests and take reasonable steps to ensure our advice is not materially influenced by our own interests.

To manage conflicts of interest, we:

  • Follow documented advice processes

  • Maintain a conflicts of interest register

  • Provide regular compliance training to adviser

  • Review our compliance program regularly

  • Monitor advice quality and client outcomes

  • Require advisers to recommend products based on client needs and suitability

Our advisers may also receive:

  • Salaries

  • Performance-based incentives or bonuses

  • Non-cash benefits such as professional development events, hospitality, or small promotional items from providers

These arrangements are monitored as part of our compliance program.

7. Referral Relationships

From time to time, we may refer clients to trusted third-party providers for services outside our main advice areas.

Examples may include:  Accounting or specialist professional services, Estate planning or wills, Fire and general insurance, Mortgage or lending advice.

Where a referral arrangement exists and a client proceeds with a product or service through a referral partner, Vista Wealth & Protection Limited may receive a referral payment or commission.

The amount of any referral payment or commission may vary from time to time depending on the provider, product, or services provided.

Our current referral relationships include:

  • Abrahams Insurance: Vista receives 60% of the upfront commission and 50% of the ongoing commission received by Abrahams Insurance for the life of the policy.

  • Howden: Vista receives 15% of the commission received by Howden.

  • Michelle Lindsay Financial Services Limited: Vista receives 25% of the commission received in relation to lending or mortgage services.

  • SimpleWills: Vista has a referral relationship with SimpleWills but does not receive any referral payment or incentive.

  • Tower: Vista receives 10% upfront commission based on the premium paid, and 10% ongoing commission for the life of the policy.

You are under no obligation to use any referred provider.

8. Our Duties to You

Vista Wealth & Protection Limited and anyone providing financial advice on our behalf have duties under the Financial Markets Conduct Act 2013.

These duties include:

  • Meeting standards of competence, knowledge, and skill

  • Giving priority to your interests

  • Exercising care, diligence, and skill

  • Meeting standards of ethical behaviour, conduct, and client care

These duties are designed to help ensure you receive suitable financial advice.

9. Privacy and Confidentiality

We collect and hold personal information so we can provide financial advice and related services.

We handle your information in accordance with the Privacy Act 2020.

Under Information Privacy Principle 3 (IPP3), we will take reasonable steps to ensure you understand:

  • What information we collect

  • Why we collect it

  • Who we may share it with

  • Whether providing the information is required

  • Your rights to access and correct your information

We may share your information with:

  • Insurance companies

  • KiwiSaver and investment providers

  • Underwriters

  • Claims assessors

  • Compliance or administrative service providers

  • Other professional advisers where authorised by you

We will only share information where necessary to provide services to you or where required by law.

You have the right to request access to the personal information we hold about you and request corrections if required.

Anti-Money Laundering Requirements

In some situations, New Zealand law requires us to verify your identity before we can provide certain services or arrange certain financial products.

This is required for investment-related services under the Anti-Money Laundering and Countering Financing of Terrorism Act 2009 (AML/CFT Act).

This means we may ask you for:

  • Photo identification

  • Proof of address

  • Information about the source of funds or wealth

  • Other documents required by law

We may not be able to provide services or implement recommendations until these requirements have been completed.

10. Professional Indemnity Insurance

Vista Wealth & Protection Limited maintains professional indemnity insurance.

This insurance is intended to provide protection for clients and the business in relation to certain errors or omissions relating to financial advice services.

Cover is subject to the terms, conditions, and limits of the policy.

11. Reliability and Disciplinary History

Neither Vista Wealth & Protection Limited nor its advisers have been subject to any reliability events that would reasonably influence a client in deciding whether to seek financial advice from us.

Examples of reliability events may include:

  • Serious disciplinary findings

  • Fraud or dishonesty offences

  • Bankruptcy or insolvency events

  • Regulatory enforcement action

If this position changes, we will disclose this as required by law.

If you are unhappy with our service or advice, we encourage you to let us know as soon as possible.

When we receive a complaint, we will:

1. Acknowledge your complaint promptly

2. Investigate the matter fairly and thoroughly

3. Work with you to try to resolve the issue

4. Provide a response within a reasonable timeframe

If we cannot resolve your complaint, you can contact our independent dispute resolution scheme.

Vista Wealth & Protection Limited is a member of an approved external dispute resolution scheme – Insurance & Financial Services Ombudsman Scheme (IFSO).

This service is independent and free for clients to use.
